Public Offer

Created: October 18, 2026 · Updated: October 28, 2026

This document constitutes a public offer by OsOO “NOVAPEY” (the “Provider”) to enter into a service agreement with an individual (the “User”) for the provision of Roonce services on the terms set out below. The User accepts this Offer by taking the action designated as acceptance of the Offer in the Roonce interface and paying for the selected plan. Acceptance constitutes full and unconditional acceptance of the Offer under Articles 437 and 438 of the Civil Code of the Russian Federation.

1. General provisions

1.1. The Provider is OsOO “NOVAPEY,” 62 Kievskaya Street, Sverdlov District, Bishkek, Kyrgyz Republic, registration number 175671-3301-OOO, taxpayer identification number 9909710276.

1.2. Roonce is a technical service that provides the User with access to secure network connection features within the limits of the selected plan. The User may access the Service, manage a subscription, make payments, and contact support through official Roonce interfaces, including the Telegram bot and web control panel.

1.3. Current plans, prices, subscription periods, features, restrictions, and payment methods are made available to the User before the order is placed and payment is made.

1.4. The User shall use the Service in compliance with the applicable laws of the Russian Federation and the country in which the User is located.

1.5. Automatic subscription renewal is enabled only with the User’s separate consent. Such consent is not a condition for purchasing a plan without automatic renewal.

2. Subject matter

2.1. The Provider grants the User access to Roonce features included in the selected plan for the term of the paid subscription, and the User shall pay for the services in accordance with this Offer.

2.2. The scope of services, subscription term, number of permitted devices, technical restrictions, and other specifications are determined by the description of the relevant plan made available to the User before purchase.

2.3. The service is deemed to have been provided once the User has been given the technical ability to use the paid plan.

2.4. The Provider may change its technical infrastructure, servers, protocols, applications, and other technical means, provided that such changes do not deprive the User of the principal functionality of the paid service.

3. Access to the Service

3.1. Use of Roonce may require an account, Telegram account, identifier, access key, or another authentication method specified by the Service.

3.2. The User shall keep access credentials confidential and shall not transfer them to third parties, except where expressly permitted by the selected plan.

3.3. If the User discovers or suspects unauthorized access to their account or the Service, the User shall notify support without undue delay.

4. Fees and payment procedure

4.1. The fees are determined by the plan selected by the User and displayed in the Roonce interface before payment.

4.2. Payment shall be made by non-cash means using the payment instruments available in the Roonce interface. A payment may be processed by an external payment provider.

4.3. The User’s payment obligation is deemed fulfilled once the payment provider confirms successful completion of the transaction.

4.4. The Provider may change plan prices. A new price applies to subsequent purchases and renewals after the updated price has been disclosed to the User before the relevant payment. The price of a period already paid for shall not be changed.

5. Automatic renewal and recurring payments

5.1. When placing a subscription order, the User may be offered the option to enable automatic renewal. It is enabled only with the User’s separate consent, expressed by a separate checkbox that is not selected by default and is not combined with the checkbox for accepting this Offer.

5.2. By enabling automatic renewal, the User authorizes recurring payments to be initiated using the selected payment method (a bank card or another method that permits such payments) for subsequent subscription periods without re-entering payment details.

5.3. Unless otherwise stated at the time of subscription, the renewal period corresponds to the period of the plan purchased. The amount, currency, and payment frequency are disclosed to the User before automatic renewal is enabled.

5.4. The next payment is charged one calendar day before the end of the current paid period to renew the subscription for the following period.

5.5. No later than three calendar days before a scheduled charge, the Provider sends the User a payment notice through a communication channel available for contacting the User, including Telegram, the Service interface, or email. The notice states the amount and date of the charge and how to disable automatic renewal.

5.6. The User may disable automatic renewal at any time through the Roonce Telegram bot, the billing section, by contacting support@roonce.com, or through the support chat. Once disabled, no further automatic charges will be made; the paid period remains active until it expires.

5.7. The User may withdraw permission to use previously provided bank account details or electronic payment details for future recurring payments by submitting an electronic request through the billing section or support. Once the request is received, the Provider will not use those details for subsequent recurring payments unless the User gives new consent.

5.8. The User may contact support@roonce.com with questions about automatic renewal, withdrawal of permission to use stored payment details, or charges.

5.9. If a scheduled payment cannot be processed, automatic renewal may not occur. After the paid period ends, access to paid features may be suspended. Any retry attempts, if made, are subject to the payment provider’s rules.

5.10. Detailed terms for automatic renewal are set out in the separate Recurring Payments Consent, which forms an integral part of this Offer with respect to automatic renewal and applies when the User separately enables that feature. In the event of a conflict between this Offer and the Consent concerning recurring payments, the Consent shall prevail; this Offer shall apply to other matters. Mandatory consumer protection laws shall prevail.

6. Subscription cancellation and refunds

6.1. The User may disable automatic renewal at any time. Disabling renewal stops subsequent automatic charges but does not, by itself, constitute a request for a refund for a period already provided or paid for.

6.2. A refund request, including a request concerning a charge believed to have been made in error, may be submitted to support@roonce.com or through the support chat. To review the request, the User must provide information sufficient to identify the account, payment, and subscription. The User must not provide full bank card details.

6.3. Refund requests are reviewed in light of the services actually provided, the circumstances of the request, and the mandatory requirements of applicable law, including consumer protection laws.

6.4. Nothing in this Offer limits consumer rights that may not be waived by agreement under applicable law.

7. Rules for use of the Service

7.1. The User shall not use Roonce to engage in unlawful activities, including unauthorized access to information systems, distribution of malware, fraud, cyberattacks, infringement of third-party rights, or distribution of information whose circulation is prohibited by law.

7.2. The User is responsible, in accordance with applicable law, for actions performed by the User through the Service.

7.3. Where there are reasonable grounds to suspect unlawful use of the Service, a material breach of this Offer, or a threat to the security or operation of the infrastructure, the Provider may temporarily restrict access to the Service or discontinue providing it to the extent permitted by law. The Provider shall comply with binding requests from competent government authorities where and as required by law.

7.4. Detailed requirements for using Roonce are set out in the Acceptable Use Policy, which is an appendix to this Offer.

8. Service quality and availability

8.1. The Provider takes reasonable organizational and technical measures to maintain the operation of Roonce but does not guarantee uninterrupted availability of the Service.

8.2. Connection speed, latency, and availability of individual servers may depend on the User’s Internet connection, telecommunications providers, device specifications, geographic location, and third-party infrastructure.

8.3. The Provider may carry out technical and maintenance work that may temporarily limit Service availability.

8.4. Compatibility with all devices, operating systems, networks, and third-party resources is not guaranteed unless expressly stated in the service description.

9. Liability of the parties

9.1. The parties shall be liable in accordance with this Offer and applicable law.

9.2. The Provider shall not be liable for the User’s inability to use the Service where it results from circumstances attributable to the User, a telecommunications provider, a payment provider, or other infrastructure outside the Provider’s control, except where the Provider’s liability is expressly established by law.

9.3. The Provider shall not be liable for the content of resources or actions taken by the User through Roonce, except as provided by law.

9.4. The limitations of liability set out in this section apply only to the extent that they do not conflict with mandatory provisions of law.

10. Personal data

10.1. Personal data is processed in accordance with applicable law and the Privacy Policy.

10.2. Information necessary to provide access, process payments, provide technical support, prevent abuse, and ensure security may be processed to provide the Service.

10.3. Information concerning payment tokens and automatic renewal is processed in accordance with the Privacy Policy and the Recurring Payments Consent.

11. Term and amendments

11.1. This Offer takes effect upon publication and remains in force until withdrawn or replaced by a new version.

11.2. The Provider may amend this Offer by publishing a revised version in the Service interface or on the page where the Offer is posted. The revised version applies to relationships arising after it takes effect. The User will be notified of changes in the manner required by law.

11.3. The terms in effect on the payment date apply to a period already paid for, except where an amendment is required by law or improves the User’s position.

11.4. Before the next automatic renewal, the User will be provided with current information about the price and material subscription terms. Notice of an upcoming charge will be sent in accordance with Clause 5.5 of this Offer.

12. Dispute resolution

12.1. Requests and claims may be sent to support@roonce.com or through the support service.

12.2. The parties shall seek to resolve disputes through negotiations and written or electronic correspondence.

12.3. If the parties fail to reach an agreement, the dispute shall be resolved in accordance with the applicable laws of the Russian Federation.

12.4. This Offer does not alter the territorial jurisdiction of consumer disputes established by law or deprive the User of any remedies provided by law.
